Course Goal / Objective
This course aims to examine in detail the legal structure, functioning, powers and decision-making processes of the general assembly, which is one of the most important organs of joint-stock companies. It is aimed to provide students with the competence to analyze the procedures and principles of general assembly meetings, the rights of shareholders, and legal disputes such as the annulment and nullity of decisions. In addition, current court decisions and application examples regarding the functioning of the general assembly within the framework of the Turkish Commercial Code (TTK) and comparative law will be discussed.
